Terms of Use – VideoraIQ

These Terms of Use (“Terms”) govern your access to and use of VideoraIQ, including our platform, website, tools, features, and associated services (collectively referred to as “VideoraIQ”, “we”, “our”, or “us”). By accessing or using VideoraIQ, you confirm that you have read, understood, and agreed to be bound by these Terms.

- Is harmful, obscene, defamatory, or discriminatory;
- Contains viruses, malware, or other malicious code;
- Promotes illegal activities or misinformation.

- Content Review and Removal:
- While we do not pre-screen content, we reserve the right to review and remove any content that we believe violates these Terms or applicable laws.
4. Acceptable Use Policy
To maintain the integrity and reliability of the VideoraIQ platform, users are expected to comply with the following acceptable use guidelines:
- Prohibited Actions:
- Do not copy, reproduce, or mirror VideoraIQ’s functionality or design without written permission.
- Do not reverse-engineer, decompile, or attempt to extract the source code of the platform.
- Do not use automated tools (bots, scripts, scrapers) to interact with or access the platform.
- Do not engage in any activity that disrupts, interferes with, or harms the platform or other users.

- Security Compliance:
- You agree not to bypass, disable, or otherwise tamper with any security or access control mechanisms used by VideoraIQ.
- Any suspected vulnerability exploitation or abuse of platform resources is subject to investigation and may lead to legal action.

5. Monitoring, Suspension, and Termination
- Monitoring:
We reserve the right, but are not obligated, to monitor user accounts and activity for violations of these Terms. Monitoring may include automated systems and manual review.

If we detect content or behavior that violates these Terms or poses a risk to our platform or users, we may:
- Issue warnings;
- Request that you revise or remove specific content.
- Temporarily restrict certain features of your account.
- Suspend or permanently terminate your account without prior notice.

6. Legal Compliance
As a user of VideoraIQ, you are solely responsible for ensuring that your actions on our platform comply with all applicable laws, rules, and regulations—local, national, and international.

You must comply with data protection regulations such as the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), or any other regional privacy laws applicable to your activities.
- Copyright and Intellectual Property:
You are prohibited from uploading, distributing, or sharing content that infringes upon the copyrights, trademarks, patents, or trade secrets of others.
- Export and Sanctions Regulations:
You may not access or use VideoraIQ in violation of U.S. export control laws or similar restrictions in other jurisdictions. This includes being physically located in a country that is subject to a U.S. government embargo or designated as a “terrorist-supporting” nation.
- Illegal Use:
Accessing the platform from jurisdictions where it is illegal to do so, or using it to promote unlawful activities or content, is strictly prohibited.
Failure to comply with any of the above may result in suspension or termination of your account and may expose you to legal consequences.
7. Copyright Protection (DMCA Policy)
VideoraIQ respects the intellectual property rights of creators and expects its users to do the same. By the Digital Millennium Copyright Act (DMCA), we have established a procedure for the notification and removal of allegedly infringing content.
Filing a Copyright Complaint:
If you believe your copyrighted material has been used or distributed on our platform without authorization, you must submit a written notice containing the following information:
- Signature:
A physical or electronic signature of the copyright owner or authorized representative.
- Work Description:
A detailed description of the copyrighted work that you claim has been infringed.
- Location of Infringing Content:
Information sufficient to locate the allegedly infringing material (e.g., URLs, screenshots, or file names).

Additional Notes:
- We may remove or disable access to allegedly infringing content at our discretion.
- We may also notify the user responsible for the content and allow them to file a counter-notification under the DMCA.
- Repeat Infringers:
Accounts repeatedly involved in copyright violations may be suspended or terminated without prior notice.
False Claims Warning:
Submitting misleading or false copyright claims is illegal and may result in legal liability, including damages and legal fees.
8. Disclaimer of Warranty
VideoraIQ is provided on an “as is” and “as available” basis. While we strive to maintain a high standard of service, we do not guarantee that the platform will always operate flawlessly.
We Specifically Disclaim All Warranties, Including:
- Availability:
We do not guarantee uninterrupted access, uptime, or error-free operation.
- Security:
Although we implement security measures, we do not guarantee the platform will be free from unauthorized access, data breaches, or cyber threats.
- Accuracy of Content:
Any content, data, or suggestions provided via VideoraIQ may not be complete, current, or entirely accurate.
- Suitability:
We do not make any representations regarding the merchantability, fitness for a particular purpose, or suitability of the platform for your specific needs.
- Third-Party Content:
We are not responsible for content, services, or features provided by third parties, including those integrated through APIs or plugins.
By using VideoraIQ, you accept full responsibility for how you use the platform and the risks associated with that use. Your reliance on any content or feature of VideoraIQ is strictly at your own discretion and risk.
9. Limitation of Liability
To the maximum extent permitted by law, VideoraIQ and its affiliates, employees, contractors, or licensors shall not be liable for any damages or losses arising from your use or inability to use the platform.
We Are Not Liable For:
- Indirect or Consequential Damages:
Including, but not limited to, loss of revenue, profits, contracts, or data.
- Loss of Business or Goodwill:
We are not responsible for reputational damage or missed business opportunities caused by downtime or platform limitations.
- Data Loss:
It is your responsibility to back up your data. We are not liable for any loss or corruption of content uploaded to the platform.
- Third-Party Services or Integrations:
We are not accountable for malfunctions, failures, or breaches related to third-party software, websites, or plug-ins that interact with VideoraIQ.
- User-Generated Content:
We do not control or endorse content posted by users, and we are not responsible for any harm resulting from such content.
In jurisdictions where limitations on liability are not allowed, our liability shall be limited to the maximum extent permissible by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless VideoraIQ, including its officers, directors, employees, affiliates, partners, agents, licensors, and contractors, from and against any claims, liabilities, damages, losses, expenses, and costs (including reasonable legal fees) that arise from or relate to:
a. Your Violation of These Terms
Any breach or non-compliance with the provisions of this Terms of Use agreement, whether intentional or unintentional.

Any activity, content, or behavior associated with your account, including any content you upload, publish, or share through VideoraIQ.
c. Violation of Law or Third-Party Rights
This includes, but is not limited to:
- Infringement of intellectual property rights;

- Misuse of personal or sensitive information;
- Defamation or harassment of others.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such cases, you agree to cooperate fully with our defense of the claim. You must not settle any matter without our prior written consent.
11. Governing Law & Jurisdiction
These Terms of Use shall be governed by and interpreted by the laws of the Province of Ontario, Canada, excluding its conflict of law rules.

All disputes, claims, or proceedings arising out of or in connection with these Terms or your use of the VideoraIQ platform shall be subject to the exclusive jurisdiction of the provincial or federal courts located in India

Notwithstanding the foregoing, VideoraIQ retains the right to seek temporary or preliminary injunctive relief or other equitable remedies in any court of competent jurisdiction to prevent the unauthorized use of our intellectual property, protect confidential information, or prevent immediate harm.

If you are accessing VideoraIQ from outside Canada, you are responsible for ensuring that your use complies with local laws and does not violate any applicable regulations or export restrictions.
12. Miscellaneous
This section outlines additional provisions that govern your relationship with VideoraIQ:
a. Severability
If any part of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that part shall be severed, and the remainder of the Terms shall remain in full force and effect.
b. No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights we may have under these Terms. Any waiver must be in writing and signed by an authorized representative of VideoraIQ.
c. Entire Agreement
These Terms, along with our Privacy Policy and any supplemental agreements for premium or paid services, constitute the entire agreement between you and VideoraIQ concerning your use of the platform. They supersede all prior or contemporaneous understandings, proposals, or communications, whether written or oral.
d. No Agency Relationship
Nothing in these Terms shall be interpreted as creating a partnership, joint venture, employment, or agency relationship between you and VideoraIQ.
e. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms at our discretion without restriction.
13. Updates to These Terms
VideoraIQ may update, revise, or modify these Terms of Use at any time. Changes will be effective immediately upon being posted to our platform unless otherwise stated.
